About Loopio

Loopio Inc., together with Loopio UK Ltd., Loopio India Software Private Limited and all other affiliates and subsidiaries (collectively “Loopio”), is a privately held group of companies that provides a software-as-a-service (SaaS) platform to help organizations curate, manage, and access content for responding to RFPs, RFIS, DDQs, and SQs (the “Services”).

Scope

This Compliance Statement (this “Statement”) outlines Loopio’s approach to compliance and reaffirms our commitment to ethical conduct and adherence to all applicable laws, rules, and regulations. This commitment includes compliance with emerging regulatory frameworks governing artificial intelligence (“AI”) and automated systems, including the European Union Artificial Intelligence Act (“EU AI Act”), where applicable.

Loopio maintains a comprehensive Employee Code of Conduct (the “Code”), which all employees are required to review and formally acknowledge.  The Code addresses key topics including our Whistleblower Process, mandatory anti-bribery and anti-corruption requirements, procedures for declaring potential or actual conflicts of interest, expectations for ethical behavior, and confidentiality obligations.

Loopio also maintains governance processes addressing the responsible development, deployment, procurement, and use of AI and automated decision-making systems, including risk assessment, documentation, human oversight, and ongoing monitoring practices where appropriate.

Additionally, Loopio has established clear procurement and purchasing policies to ensure these standards and obligations are upheld when acquiring goods and services from third parties. All policies and procedures clearly outline the consequences for violations. These processes include consideration of technology-related risks, including risks associated with AI-enabled systems used internally or provided by third parties.

Approval

Loopio’s approach to compliance is facilitated by a top-down mandate. Oversight of AI-related risks and regulatory obligations forms part of Loopio’s enterprise risk management framework and is subject to Board-level awareness and executive accountability.

Our Commitment

To demonstrate Loopio’s ongoing commitment to integrity and compliance with applicable laws, we have adopted the following principles to guide our operations and relationships with customers, vendors, stakeholders, and all other third parties:

Supply Chain Management

In addition, Loopio has established a formal Procurement Policy that outlines our purchasing processes and sourcing strategies. Where relevant, procurement processes also consider risks associated with third-party use of AI or automated systems in connection with services provided to Loopio.

This policy ensures that the goods and services we acquire:

To support our supply chain management, Loopio requires that relevant vendors have taken reasonable steps to ensure there are no violations of modern slavery or forced/child labour within their operations or supply chains; have not engaged in bribery, corruption, or fraudulent practices in connection with providing goods or services to Loopio; and have maintained records demonstrating compliance with these obligations, typically through a Supplier Code of Conduct or equivalent documentation.

Where applicable, Loopio may also expect vendors providing AI-enabled products or services to maintain appropriate governance controls addressing lawful use, human oversight, data protection, and regulatory compliance.

Compliance & Policy Violation

Compliance with this Statement is mandatory by all Loopio employees and third-party vendors. Employees must promptly report any actual or suspected violations of this Statement in accordance with the procedure set out in the Employee Code of Conduct. Loopio prohibits retaliation against anyone who makes a good faith report. Violations may result in disciplinary action, up to and including termination, as outlined in the Employee Handbook. This includes compliance with Loopio’s internal AI governance standards and any applicable legal or regulatory requirements relating to artificial intelligence technologies.

Changes to this Statement

We will review this Statement on an annual basis. We reserve the right to update this Statement at any time to best reflect changes to our internal compliance practices and policies, including to reflect evolving regulatory developments relating to AI, automated decision-making, and digital governance frameworks. The revised Statement will be posted on this website. We strongly encourage you to refer to this Statement often for the latest information about our compliance practices.
