Compliance Statement

Introduction
Loopio Inc., together with Loopio UK Ltd., Loopio India Software Private Limited and all other affiliates and subsidiaries (collectively “Loopio”) is a group of privately held companies that provides a software as a service (SaaS) platform that assists companies in curating, reviewing, maintaining and accessing a library of content for responding to requests for proposals (RFPs), request for information (RFIs), due diligence questionnaires (DDQs), and security questionnaires (SQs).
Scope
This Compliance Statement (this “Statement”) has been established to reflect Loopio’s approach and commitment to compliance with ethical conduct, applicable laws, rules and regulations. Details about Loopio’s expectations and adherence to compliance and governance framework are set out in specific external policies including Loopio’s ESG Policy, Privacy Policy, Modern Slavery Policy, Diversity, Inclusion, and Belonging Annual Report and Trust Package.
Loopio also has a very comprehensive Employee Code of Conduct which all Employees are required to review and attest their compliance with. Relevant topics covered in our Code of Conduct include our Whistleblower Process, mandatory requirements with respect to anti-bribery & anti-corruption, the process for declaring potential or actual conflict of interest, our expectations of ethical behavior, and confidentiality obligations. In addition, we have a clear procurement and purchasing policy to ensure the foregoing requirements and obligations are met when purchasing goods and services from third parties. All policies and procedures also set out how violations will be treated.
Approval
Loopio’s approach to compliance is facilitated by a top-down mandate; this Statement has been reviewed and approved by Loopio’s Risk and Audit Board Committee and is supported by Loopio’s Leadership Team.
Our Commitment
As part of Loopio’s commitment to ensuring its integrity and compliance to applicable law, we have adopted the following principles to guide our day-to-day business practices and relationships with all third parties (including our customers, vendors, stakeholders, etc.):
- Foster and maintain a culture of compliance through internal controls, audits, regular training, and sound financial practices;
- Provide applicable training for Loopio employees;
- Assess compliance on a regular basis to ensure Loopio’s obligations are appropriate and valid;
- Ensure compliance with applicable laws and regulations, including anti-corruption and bribery laws, conflicts of interest, modern slavery laws including but not limited to forced and child labour laws, discrimination and equal employment, health and safety, data privacy and intellectual property rights;
- Implement a companywide Whistleblowing Policy and supporting procedures that encourage employees to raise concerns without fear of retaliation; and
- Implement and support environmental, social and governance initiatives.
Supply Chain Management
In addition, Loopio has in place a formal purchasing policy which sets out Loopio’s purchasing processes and sourcing strategies to ensure that goods and services Loopio acquires are (i) the result of transparent, objective, time and cost effective decision making, (ii) undergo an appropriate risk assessment and management, and (iii) comply with all applicable laws and related internal policies and procedures.
To support our supply chain management processes, Loopio ensures that applicable vendors have taken reasonable steps to ensure there are no violations of modern slavery, or forced/child labour in vendor’s operations or supply chains, (ii) have not engaged in any act of bribery, corrupt or fraudulent practice in connection with and whilst providing the goods and/or services to Loopio, and (ii) maintained records evidencing compliance with the foregoing, such as in a ‘code of conduct’ or similar document.
Changes to this Statement
We will review this Statement on an annual basis. We reserve the right to update this Statement at any time to best reflect changes to our internal compliance practices and policies. The revised Statement will be posted on this website. We strongly encourage you to refer to this Statement often for the latest information about our compliance practices.
