About Loopio

Loopio Inc., together with Loopio UK Ltd., Loopio India Software Private Limited and all other affiliates and subsidiaries (collectively “Loopio”), is a privately held group of companies that provides a software-as-a-service (SaaS) platform to help organizations curate, manage, and access content for responding to RFPs, RFIS, DDQs, and SQs (the “Services”).

Governance

Loopio is committed to maintaining transparency in our practices to combat slavery and human trafficking within our business operations and supply chain. This Modern Slavery Policy (“Policy”) is made pursuant to the Modern Slavery Act 2018 (Canada) and the Modern Slavery Act 2015 (UK). This Policy constitutes Loopio’s slavery and human trafficking statement for the financial year ending January 31, 2025, and will remain in effect until amended.

Loopio has a zero tolerance to slavery and human trafficking including forced and child labour. To ensure all those in our supply chain and contractors comply with our values and ethics, we have a dedicated team to monitor and enforce compliance with this Policy, which consists of representatives from the Legal, People Operations, Finance, Information Security and Procurement Teams.

Our approach to modern slavery is facilitated by a top-down mandate. This Policy has been reviewed and approved by Loopio’s Risk and Audit Board Committee and supported by Loopio’s Executive Leadership Team.

Scope

This Policy reflects Loopio’s commitment to conducting business ethically and with integrity across all of our operations and relationships. We are dedicated to implementing and maintaining effective systems and controls to ensure that modern slavery and human trafficking are not taking place anywhere in our supply chains.

As a remote-first organization, our supply chain primarily involves the procurement of software services. However, we also engage with a network of suppliers across multiple countries. We are committed to working only with partners who uphold the same high standards of ethics and integrity that we do.

Loopio takes an active approach to corporate responsibility. For example, during the recruitment process, we conduct appropriate background and identity checks in accordance with applicable laws. Our People Team also collaborates closely with regional teams to ensure compliance with legal and societal standards in each jurisdiction where we operate. This includes adherence to minimum employment age requirements, fair compensation, paid holidays, working conditions, and other labour standards.

To reinforce our commitment to preventing modern slavery and human trafficking within our operations and supply chain, we have implemented the following policies and practices:

Supply Chain Due Diligence & Management

Loopio has implemented a formal Procurement Policy designed to monitor supplier relationships and mitigate the risk of modern slavery within our operations and supply chain. This policy requires applicable suppliers to:

  1. take reasonable steps to ensure that neither modern slavery nor forced child labour exists within their operations or supply chains;
  2. refrain from engaging in any form of bribery, corruption, or fraudulent practices in connection with the provision of goods or services to Loopio;
  3. maintain appropriate records demonstrating compliance with these requirements, such as a Supplier Code of Conduct or equivalent documentation.

To date, Loopio has not identified any instances of modern slavery or human trafficking within our operations or those of our suppliers.

Our Ongoing Commitment

Loopio is committed to the continuous improvement of its efforts to prevent modern slavery and human trafficking. We recognize that combating these issues requires sustained attention and adaptability. We will regularly review our human rights practices and monitor evolving legal standards and industry best practices to strengthen our commitments under this Policy and enhance the effectiveness of our safeguards.

Compliance & Policy Violation

Compliance with this Policy is mandatory for all Loopio employees and applicable third parties. Employees must promptly report any actual or suspected violations in accordance with the procedures outlined in Loopio’s Employee Code of Conduct. Loopio prohibits retaliation against anyone who makes a good faith report.

Violations by employees may result in disciplinary action, up to and including termination, as outlined in the Employee Handbook. Loopio reserves the right to take appropriate action with respect to third parties who violate this Policy.

Changes to This Policy

Loopio reserves the right to update this Policy at any time to reflect changes in our internal practices. The most current version will be made available online. We strongly encourage you to review this Policy regularly to stay informed of any updates.
